Terms of Service

These terms govern your use of BulkSMSHub products and services. Please read them carefully.

✅ By creating a BulkSMSHub account or using our services, you agree to these Terms of Service. If you are entering into these terms on behalf of a business entity, you represent that you have authority to bind that entity.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and BulkSMSHub Pte. Ltd., a company registered in Singapore (UEN: 201801234X) with registered address at 1 Raffles Place #20-61, Singapore 048616 ("BulkSMSHub," "we," "us").

By accessing or using BulkSMSHub's platform, API, website, or any associated services (collectively "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

2. Services Description

BulkSMSHub provides a cloud-based communications platform including:

  • Bulk SMS Marketing: Mass text message delivery services to 190+ countries
  • A2P SMS Gateway: Application-to-Person SMS API for automated message delivery
  • WhatsApp Business API: Integration services for the WhatsApp Business Platform (via Meta)
  • Email Marketing: Email campaign and marketing automation tools
  • Chatbot and Automation: Conversational AI and workflow automation tools
  • Omnichannel Platform: Unified messaging across multiple communication channels

Services are subject to change. We will provide 30 days notice for material changes that may adversely impact existing customers. New features may be added at any time without notice.

3. Account Registration and Security

To access BulkSMSHub services, you must create an account. You agree to:

  • Provide accurate, current and complete registration information
  • Maintain the security of your password and account credentials
  • Immediately notify BulkSMSHub of any unauthorised account access
  • Accept responsibility for all activities occurring under your account
  • Not share account credentials with unauthorised individuals
  • Ensure only authorised personnel can access your account

BulkSMSHub reserves the right to suspend or terminate accounts where we suspect credential compromise or unauthorised access, pending investigation.

4. Acceptable Use Policy

You agree to use BulkSMSHub services only for lawful purposes and in compliance with all applicable laws, regulations and third-party rights. The following activities are strictly prohibited:

4.1 Prohibited Content

  • Unsolicited commercial messages (spam) to recipients who have not given consent
  • Content that is illegal, fraudulent, deceptive, threatening, abusive, defamatory or obscene
  • Phishing, spoofing or impersonation of other organisations or individuals
  • Content promoting illegal activities, drugs, weapons, counterfeit goods or human trafficking
  • SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) via carrier A2P routes unless specifically authorised
  • Content targeting minors with inappropriate material
  • Political campaign messaging without appropriate disclosures where legally required

4.2 Technical Prohibitions

  • Reverse engineering, decompiling or attempting to extract source code from BulkSMSHub software
  • Attempting to gain unauthorised access to our systems, networks or other customers' data
  • Using our platform to conduct security attacks against third-party systems
  • Manipulating sender IDs to misrepresent the origin of messages
  • Circumventing carrier filtering, DNC registries or opt-out mechanisms
  • Exceeding API rate limits or using automated means to scrape platform data

Violation of this Acceptable Use Policy may result in immediate account suspension without refund and potential legal action.

5. Payment Terms

Subscription Plans: Monthly or annual subscriptions are billed in advance. Annual plans are prepaid for the full year.

Credit-Based Usage: SMS and message credits are consumed upon successful delivery or attempt. Credits are non-transferable between accounts and have no cash value.

Overages: Usage exceeding your plan allocation is billed at standard per-message rates for your plan tier.

Payment Methods: We accept major credit cards (Visa, Mastercard, Amex), bank transfers (IBAN) and select local payment methods by region. Enterprise customers may request invoice billing with net-30 payment terms.

Taxes: Prices are exclusive of applicable taxes (GST, VAT, Sales Tax). Where applicable, taxes will be added based on your billing address.

Refunds: Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for prorated refunds within 30 days of purchase, at BulkSMSHub's discretion. Unused message credits are non-refundable except where required by applicable law.

Late Payment: Overdue amounts accrue interest at 1.5% per month or the maximum permitted by applicable law. We reserve the right to suspend services for non-payment after 7 days written notice.

6. Service Level Agreement (SLA)

Uptime Commitment: BulkSMSHub commits to 99.9% platform availability per calendar month (excluding scheduled maintenance).

Scheduled Maintenance: We provide 48 hours advance notice for scheduled maintenance windows, typically scheduled between 2:00-6:00 AM Singapore Time (SGT) on weekends.

SMS Delivery: We target 98%+ delivery rates but cannot guarantee delivery as it depends on recipient network availability and carrier routing.

SLA Credits: If monthly uptime falls below 99.9%, eligible customers may request service credits: below 99% = 10% credit; below 95% = 25% credit; below 90% = 50% credit. Credits are applied to future invoices and do not constitute refunds.

7. Intellectual Property

BulkSMSHub and its licensors retain all intellectual property rights in the platform, software, documentation and associated materials. You receive a limited, non-exclusive, non-transferable licence to use the Services during the term of your subscription.

You retain all intellectual property rights in content you upload to the platform (contact lists, message content, campaign data). You grant BulkSMSHub a limited licence to process this content solely to provide the Services.

8. Data and Privacy

Our data processing practices are described in our Privacy Policy and GDPR Compliance Statement. Customers who are data controllers processing personal data of EU/UK individuals should enter into a Data Processing Agreement (DPA) with BulkSMSHub. Contact dpo@bulksmshub.com to request a DPA.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) BULKSMSHUB IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES; (b) OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF USD $500 OR THE AMOUNTS PAID BY YOU TO BULKSMSHUB IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the legal theory of the claim (contract, tort, statute) and even if BulkSMSHub has been advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability for personal injury or death — in such cases this limitation does not apply.

10. Termination

By You: You may terminate your account at any time by contacting support. Monthly subscriptions terminate at end of current billing period. Annual subscriptions may be eligible for prorated refunds per Section 5.

By BulkSMSHub: We may suspend or terminate your account immediately for: (a) breach of these Terms or our Acceptable Use Policy; (b) non-payment; (c) fraudulent or illegal activity; (d) behaviour that endangers our platform or other customers.

Effect of Termination: On termination, your access to the platform ceases. We will retain your data for 30 days following termination during which you may request an export. After 30 days, data is permanently deleted unless retention is required by law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any dispute arising from or related to these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules, with the seat of arbitration in Singapore and proceedings conducted in English.

Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent court.

12. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days advance notice by email to registered account holders and by posting a notice on our website. Your continued use of our Services after the effective date of any updated Terms constitutes acceptance of those changes.
